Corporate Law

BGR advises its clients on corporate law through every stage of their company’s life, in dialogue with notary and law firms.

The Firm’s professional staff assist clients in a wide range of matters, from drafting articles of association during incorporation to their amendment at the most critical stages of corporate life, such as the entry of new shareholders, generational transition, and acquisitions and statutory changes.

The Firm ongoingly assists companies with the proper observance of obligations and fulfilments required by civil law and statutory provisions.

BGR helps in preparing shareholders’ agreements and, more generally, in identifying constructing, and developing models of governance and corporate organisation. This is a ‘tailor-made’ activity based on each client’s circumstances and characteristics.

Company Positions

Studio BGR’s professionals enrolled on the Register of Chartered Accountants and Auditors are qualified to hold the position of Statutory Auditor and Auditor of companies and bodies.

Thanks to their in-depth knowledge of various business sectors, BGR’s lawyers and accountants sit on the Board of Directors or Supervisory Boards of numerous companies.

BGR’s partners, associates, and collaborators hold the above offices in domestic and multinational groups of significant size. These groups are based in Italy and abroad and operate in various manufacturing and financial sectors.

Appraisals and Valuations (FC)

BGR helps its clients to value companies’ economic capital by carrying out qualified appraisals, both as an independent Firm and as a party to proceedings, for companies, business units and company shareholdings, whether minority, majority or 100%.

Some of the Firm’s professional staff are Technical Advisors to the Court of Turin for company valuations. They have many years of experience using different valuation methods depending on the company’s business sector and activity.

With its highly experienced professional staff, BGR can provide a high-profile business valuation team. This team can identify the proper criteria for drawing up an accurate business valuation report using the most suitable equity, income, mixed, financial and market multiples methods for the sector and valuation purpose.

When necessary or appropriate, the Firm works with a network of high-level professionals, such as engineers and actuaries.

Corporate Secretariat

BGR tax and legal provides domiciliation and corporate secretarial services, including the preparation of shareholders’ and board of directors’ minutes.

For more delicate cases and extraordinary operations, the Firm, through its Partners and more experienced professionals, advises and assists the client in setting up meetings and drafting minutes, also assuming the role of secretary.

The Firm helps the company to organise shareholders’ meetings, boards of directors’ meetings, meetings of subscribers to shareholders’ agreements and of technical committees.
BGR also uses its IT facilities, connected with the Register of Companies and the Italian tax authorities, to assist clients in the preparation and electronic submission of financial statements and other reports to the Register of Companies and for the registration of minutes and lease agreements.

GDPR and Data Protection

The GDPR and Data Protection Division helps to prepare and implement compliance programmes. Specifically, it provides ongoing assistance in the management of any privacy issues and, in particular, it assists its clients in the following areas:

  • performance of a gap analysis on processed personal data and the processing carried out, as well as in the preparation of a data protection impact assessment (DPIA);
  • definition of appropriate security measures to ensure adequate protection of personal data;
  • proper management of personal data processing for marketing, commercial communication and profiling purposes;
  • audits and due diligence on the protection of personal data processing;
  • staff training and updating.

 

BGR can also act as Data Protection Officer (DPO) or provide advice to an internally appointed DPO.
